By accessing and using the services provided by muffleokgx B.V. ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Payment Terms

Payment terms are specified in your service agreement with muffleokgx. Unless otherwise agreed:

• All fees are quoted in Euros (EUR) and exclude applicable taxes
• Payment is due within 30 days of invoice date
• Late payment may result in service suspension
• We reserve the right to modify pricing with 30 days' notice
• Refunds are subject to our refund policy as outlined in your service agreement

Service Availability

While we strive to maintain continuous service availability, muffleokgx does not guarantee uninterrupted access to our services. We reserve the right to suspend or modify our services for maintenance, updates, or other operational reasons. We will provide reasonable notice of planned maintenance when possible.

Data Protection and Privacy

Your privacy is important to us. The collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by applicable law, muffleokgx B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability to you for any claim arising from or relating to these Terms or our services shall not exceed the amount paid by you to muffleokgx in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless muffleokgx B.V. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or violation of these Terms.

Termination

Either party may terminate the service relationship at any time with written notice. Specific termination terms may be outlined in your service agreement. Upon termination:

• Your right to use our services will cease immediately
• We will cease providing services as of the termination date
• You remain liable for all charges incurred prior to termination
• We may delete your data in accordance with our data retention policy
• Provisions that by their nature should survive termination shall survive

Force Majeure

muffleokgx shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar causes beyond our reasonable control.

Governing Law

These Terms shall be interpreted and governed by the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

Dispute Resolution

Any disputes arising from or relating to these Terms or our services shall first be addressed through good faith negotiations. If such negotiations fail, disputes shall be resolved through the competent courts in Breda, Netherlands, or through arbitration if mutually agreed upon by both parties.

Modifications to Terms

muffleokgx reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and muffleokgx regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
